James M. Proctor, II serves as Senior Vice President and General Counsel of McWane, Inc. Mr. Proctor joined the company as General Counsel in 1995. Prior to coming to McWane, he was a shareholder of the law firm of Maynard, Cooper & Gale, PC in Birmingham where he specialized in commercial litigation.

Mr. Proctor serves on the boards of Workshops, Inc. (providing life skills and job training for the handicapped and disabled); Farrah Law Society; Boys Scouts of America, Greater Birmingham Council; Mt. Brook Athletics (Past Chairman and President); Mt. Brook Sports Corporation; Norton Board of Advisors, Birmingham-Southern College; Mountain Brook Community Center; and the Business Council of Alabama.

Mr. Proctor was named as one of Birmingham Business Journal's Who's Who in Law and Accounting 2006.

Mr. Proctor is a member of the American Bar Association, Alabama State Bar Association; Association of Corporate Counsel; Birmingham Inns of Court; Leadership Birmingham; Project Corporate Leadership; Canterbury United Methodist Church; United Way of Central Alabama Allocation Team; Newcomen Society; Mountain Brook School Funding Task Force; and Downtown Kiwanis Club.

Mr. Proctor graduated from the University of Virginia in 1981 with a B.A. in History and Economics and from University of Alabama Law School in 1984.
